1. Welcome to BOS!
We’re thrilled to have you using BOS by QuickEasy Software. These terms help keep everything running smoothly, so please take a moment to read them. Throughout these Terms of Use, when we say “we,” “us,” or “our,” we’re referring to QuickEasy Software.
2. Your License to Use BOS
We’re happy to grant you a non-exclusive license to use BOS. It’s all yours, but please remember it’s for your individual use—no sharing, copying, or reselling, okay? While you’re welcome to enjoy BOS, please don’t distribute, modify, or use its content for commercial purposes without getting explicit written permission from QuickEasy Software first.
3. Your Responsibilities
We trust you to keep your account details safe and secure. You’re responsible for anything that happens under your account, so please keep it secure and use BOS responsibly. Please remember that any unlawful or prohibited activities are strictly off-limits while using BOS.
4. How We Use Your Data
We collect some usage data, including user names, email addresses, access times, and session durations, to enhance your experience and ensure the system functions optimally. This data is also used for billing reconciliation and system performance monitoring. We do not use your information for marketing or to contact your partners or customers. If you request support or troubleshooting, our team may temporarily access your business data, solely for resolving issues, and this is covered under a non-disclosure agreement (NDA). Check out our Privacy Policy for all the details. By using BOS, you’re agreeing to this.
5. Our Content is Protected
We’ve put a lot of effort into BOS, and all the content within it is protected. Please enjoy it as intended, and don’t use it for anything beyond the scope of these terms.
6. Billing and Fair Use
BOS is subscription-based, with fees billed monthly in advance by default. Your subscription is tied to the number of user licenses, so if your usage changes, please let us know, and we’ll adjust your billing accordingly. We may verify the actual number of users, and if it exceeds your paid licenses by more than 10%, we reserve the right to invoice you for the additional usage from previous periods.
7. Subscription Renewal and Termination
Your subscription to BOS is continuous and will automatically renew. If you wish to cancel, please provide us with 30 days' notice and the cancellations will take effect at the end of the current billing cycle following the notice period.
8. Keeping BOS Up and Running
We aim to keep BOS available at all times, but in rare cases, we may need to suspend services for urgent maintenance or unforeseen emergencies. While we strive to minimize downtime, some situations may require immediate action to protect the system and your data. If possible, we will notify you in advance, but in emergencies, our priority will be to resolve the issue swiftly to restore service.
9. We're Here To Help
Our support team is available to assist you Monday through Friday during regular business hours, South Africa Time (SAST), excluding public holidays. We understand the importance of continuous service, so please note that we do not have any company-wide shutdown periods, even during holidays like Christmas or New Year. If you need help, we're here to support you during our regular hours.
10. Addressing Issues
We know that sometimes things don’t work as expected. If you encounter any issues while using BOS, please report them to us through our support channels. We’ll work closely with you to understand and replicate the problem. If it’s a usage-related issue, we’ll guide you on the corrective action. However, if we identify the problem as a technical issue with BOS, we’ll address it promptly and keep you informed of the resolution.
11. Closing Your BOS Access
We value our relationship with you and aim to provide continued access to BOS. However, if the terms are significantly breached and no resolution can be found, we may have to end your access as a last resort. We’ll always try to work with you to resolve issues before taking this step.
12. Keeping BOS Updated
We’re always looking to improve BOS, so we may update the application and these terms from time to time. We’ll let you know about significant changes through the application or via email. Your continued use of BOS means you’re okay with the updates.
13. Our Commitment to You
We’re committed to making BOS the best it can be, but it’s provided “as is.” We strive to keep everything running smoothly, but we can’t promise perfection.
14. Third-Party Software
BOS integrates with some third-party tools. They have their own terms, so please make sure you’re familiar with and adhere to those as well.
15. Third-Party Integrations
BOS can work seamlessly with various third-party software. However, if an issue arises due to the integration with any third-party software, please understand that we cannot be liable for any problems caused by those third-party systems. We recommend ensuring that any third-party tools you connect with BOS are reliable and compatible with our application to avoid potential issues.
16. Our Limits of Responsibility
We work hard to ensure BOS meets your needs, but if something goes wrong, our liability is limited to the fees you’ve paid in the last 12 months.
17. Your Commitment to Us
We trust that you’ll use BOS responsibly, but if something goes wrong—like if your actions cause legal trouble for us—you agree to indemnify us, meaning you'll hold harmless QuickEasy Software, our affiliates, and our team members from any issues that arise because of your use of BOS, your breach of these terms, or if you infringe on someone else’s rights.
18. Your Data Belongs to You
You retain full ownership of all data you enter into BOS and we will not claim any rights over your data. We’re here to provide the tools, but your data remains entirely yours.
19. Your Information Stays Private
We understand the importance of confidentiality and data protection. Any data you enter into BOS is assumed to be confidential by default, and we will treat it as such. Any data or information you share with us that is not directly entered into BOS by you will also be treated as confidential. We adhere to relevant data protection regulations, ensuring that personal data is processed solely to perform our services. We maintain strict confidentiality, implement appropriate security measures, and will promptly notify you of any data breaches. To ensure the highest level of protection, we kindly ask you to clearly indicate any specific data that requires additional confidentiality measures. Rest assured, we are committed to safeguarding all confidential information you provide.
20. Our Rights To What We Create
We retain ownership of all intellectual property related to BOS, including any customizations or new features developed at your request. Any enhancements or modifications made to BOS, regardless of the origin of the request, will remain the exclusive property of QuickEasy Software.
21. How We Keep BOS Running Smoothly
We host BOS on AWS, a trusted and reliable service provider known for its high availability, claiming 99.99% uptime for most of its services. However, please note that we are not accountable or liable for any outages or disruptions caused by AWS. While AWS generally provides excellent service, unforeseen issues can occasionally occur. We assure you that we work closely with AWS to minimise any potential impact and restore service as quickly as possible.
22. Keeping Things Secure
We take security seriously. For self-hosting customers, we’ll notify you of any security vulnerabilities at least 2 weeks before public disclosure, unless already disclosed. For cloud-hosted services, security patches are applied automatically without your intervention.
23. Your Ideas for BOS
We value your feedback and welcome development requests to enhance BOS. While we strive to accommodate these requests, please understand that we cannot guarantee implementation. We carefully consider each request based on feasibility, alignment with our roadmap, and overall benefit to all users. We’ll do our best to keep you informed about the status of your request.
24. Upgrading Your BOS
You can request upgrades to move from one version of BOS to a newer one. This service includes database conversions and resolving any technical issues directly related to the upgrade. For third-party extensions and customizations, optional upgrade services are available at an additional cost.
25. Resolving Disagreements
In the event of a dispute, we prefer to resolve issues amicably. Should a resolution not be reached, disputes will be settled through arbitration before any litigation. This helps ensure a fair and efficient resolution process.
26. Data Integrity
While it’s rare, there’s a small chance that the information you enter into BOS might not save correctly due to unexpected issues. If something like this happens, just let us know right away. We’ll work with you to get things back on track as quickly as possible.
27. Our Data Backup Procedure
If we’re hosting BOS for you, we’ve got your back—literally. We perform daily backups of your data on AWS-managed instances, so you can rest easy. If something goes wrong, we can recover your data from the last 60 days. Please note, this backup service only applies if QuickEasy is managing your AWS hosting. For self-hosted setups, you’ll need to manage your own backups.
28. Uncontrollable Events
Sometimes, things beyond our control happen (“force majeure” events like natural disasters, acts of war, government actions, or strikes). If they do, we might not be able to meet our obligations, but we’ll do our best to minimise any impact.
29. This Is Our Full Agreement
These Terms of Use represent the entire agreement between you and us regarding your use of BOS. They supersede any prior agreements or understandings, whether written or oral, related to BOS.
30. If Part Of This Agreement Does Not Apply
If any provision of these terms is found to be unenforceable or invalid by a court, the remaining provisions will continue to be in full effect.
31. Applicable Law
These terms are governed by South African law. If there’s ever a dispute, it’ll be handled by South African courts.
